Terms of Sale for Heritage by MyLuthier

BACKGROUND

These Terms andConditions are the standard terms for the sale of goods by Heritage byMyLuthier Ltd, a Limited Company registered in England under number 16128911,whose registered address is 49 Little Britain, EC1A 7BH London.

1. Definitions and Interpretation

1.1 In these Termsand Conditions, unless the context otherwise requires, the followingexpressions have the following meanings:

·       "Business Day" means any day other than a Saturday,Sunday, or bank holiday.

·       "Calendar Day" means any day of the year.

·       "Commercial Unit" means a delivery of Goods, the characterand/or value of which would be materially impaired if divided.

·       "Contract" means the contract for the purchase andsale of Goods, as explained in Clause 4.

·       "Goods" means the goods which are to be supplied byUs to you as specified in your Order (and confirmed in Our Detailed invoice).

·       "Month" means a calendar month.

·       "Price" means the price payable for the Goods.

·       "Special Price" means a special offer price payable forGoods which We may offer from time to time.

·       "Order" means your order for the Goods as attached.

·       "Detailed invoice" means Our acceptance and confirmation ofyour Order as described in Clause 4.

·       "We/Us/Our" means Heritage by MyLuthier Ltd, a Limitedcompany registered in England under number 16128911, whose registered addressis 49 Little Britain, EC1A 7BH London.

1.2 Each referencein these Terms and Conditions to "writing" and any similar expressionincludes electronic communications whether sent by e-mail, text message, fax,or other means.

2. Information About Us

2.1 Heritage byMyLuthier Ltd is a Limited company registered in England under number 16128911,whose registered address is 49 Little Britain, EC1A 7BH London.

3. General Terms

3.1 These Terms ofSale ("Agreement") govern the sale of musical instruments and relateditems by Heritage by MyLuthier Ltd. ("Heritage by MyLuthier","we", or "us") to the customer ("you" or"buyer"). By purchasing any item from Heritage by MyLuthier, youagree to be bound by the terms and conditions set forth below.

4. Contract and Order

4.1 A contract forthe purchase of Goods is formed when we issue a Detailed invoice confirmingyour Order.

5. Currency

5.1 All instrumentsare priced in Great British Pounds (GBP). If a quotation is provided in adifferent currency, please be aware that exchange rate fees and other bankingcharges may apply, potentially affecting the final price.

6. Sales Finality

6.1 All sales arefinal. No refunds will be provided for purchases, including online sales andin-person sales following an instrument trial, except as governed by the termsoutlined in the Buyer’s Trial Period agreement. This clause does not affectyour statutory rights, including your right to return items that are faulty,not as described, or otherwise in breach of statutory obligations.

7. Faulty, Damaged, or Incorrect Goods

7.1 By law, We mustprovide goods that are of satisfactory quality, fit for purpose, as describedat the time of purchase, in accordance with any pre-contract information Wehave provided, and that match any samples or models that you have seen orexamined. Buyers are entitled to inspect instruments or receive detailedcondition reports before purchase as outlined in the Inspection and Approvalclause. If any digital content is included in the Goods, that digital contentmust also conform.

7.2 If you requesta repair or replacement during the first thirty Calendar Day period, thatperiod will be suspended while We carry out the repair or replacement and willresume on the day that you receive the replacement or repaired Goods. If lessthan 7 Calendar Days remain out of the original period, it will be extended to7 Calendar Days.

7.3 Please notethat you will not be eligible to claim under this Clause 7 if We informed youof any faults, damage, or other problems with the Goods before your purchase ofthem; if you have purchased the Goods for an unsuitable purpose that is neitherobvious nor made known to Us and the problem has resulted from your use of theGoods for that purpose; or if the problem is the result of normal wear andtear, misuse, or intentional or careless damage.

8. Export Sales

8.1 Internationalsales are made on a Deliver Duty Unpaid (DDU) basis. Buyers must ensurecompliance with applicable import/export laws, including adherence to CITESregulations for instruments containing materials such as ivory ortortoiseshell. We are not responsible for shipments refused at customs, andreturns are not permitted for goods refused or delayed in customs. Pleaseensure you are fully informed of any duties or taxes that may apply beforeplacing an international order. 9. Price and Payment

9.1 The price ofthe goods will be as shown in our price list at the time of your order. If theprice in your order differs from our current price, we will inform you uponreceipt of the order.

9.2 If we quote aspecial price that differs from the current price list, the special price willbe valid for ten days or for the duration of the special offer, as indicated.

9.3 Prices maychange at any time but will not affect orders that have already been accepted.

9.4 Prices do notinclude delivery costs, which may be added to the final sum.

9.5 Payment must bemade in full before goods can be dispatched.

9.6 Deposits:Reserve deposits are non-refundable. Buyers may not claim refunds for depositsor partial payments under any circumstances unless otherwise agreed. Fullpayment must be made before dispatch, and the buyer is encouraged to review allProvenance and Authenticity documentation before finalizing the purchase.

10. Maintenance Responsibility

10.1 Ongoingmaintenance and servicing are the owner's responsibility. We recommend regularservicing by a qualified luthier.

11. Warranty

11.1 Allinstruments are sold with a warranty against defects in craftsmanship ormaterials for up to 30 days from the purchase date. Buyers are advised toarrange insurance for purchased instruments immediately upon receipt, asHeritage by MyLuthier is not liable for damages, loss, or theft post-purchase.This warranty does not cover wear and tear, accidental damage, or improperhandling. The guarantee does not cover wear and tear, accidental damage, orimproper handling.

12. Online Sales

12.1 Online salesare non-refundable. This clause does not affect your statutory rights.

13. Buyer-Specific Terms

13.1 Buyer’s Trial Period

Buyers may request a trial period for instruments before final purchase,subject to Heritage by MyLuthier's approval. Trials are governed by a separateagreement, detailing the duration, care requirements, and liability for damagesduring the trial.

13.2 Provenance and Authenticity

Heritage byMyLuthier provides provenance and authenticity documentation as available.Buyers are encouraged to review these before purchase. Heritage by MyLuthier isnot liable for disputes arising from third-party authenticity claims.

13.3 Inspection and Approval

Buyers are entitled to inspect instruments or receive detailed conditionreports before purchase. By completing the purchase, the buyer acknowledgessatisfaction with the instrument's condition.

13.4 CITES Compliance

Certain instruments may include materials subject to CITES regulations.Buyers must ensure compliance with applicable import/export laws. Heritage byMyLuthier is not responsible for any related legal issues or delays.

13.5 Insurance Recommendations

Buyers are advised to arrange insurance for purchased instrumentsimmediately upon receipt. Heritage by MyLuthier is not liable for damages,loss, or theft post-purchase.

14. Liability

14.1 Our liabilityis limited to the value of the purchased instrument.

Acknowledgment By purchasing from Heritage by MyLuthier,you acknowledge that you have read, understood, and agree to these Terms ofSale in their entirety.
